1. Introduction

Welcome to Keepr Circles ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our photo sharing application and related services (the "Service") operated by Keepr Circles.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Account Registration and Authentication

To use our Service, you must create an account through our third-party authentication provider (Replit Auth). You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Be at least 13 years of age to create an account

3. Photo and Content Ownership

Your Content: You retain all ownership rights to photos, videos, and other content you upload to Keepr Circles. By uploading content, you grant us a limited, non-exclusive license to:

• Store and display your content within the Service
• Generate thumbnails, previews, and optimize files for performance
• Transcode videos for compatibility and efficient delivery
• Cache and distribute content via Content Delivery Network (CDN) for fast access
• Enable sharing with circles and albums you designate
• Create temporary "Moments" stories visible to your circles for 24 hours

Content Responsibility: You are solely responsible for content you upload and share. You represent that you have the right to upload and share all content on your account.

No AI Training: We do not use your photos, videos, or content to train artificial intelligence or machine learning models.

4. Circle and Album Sharing

Keepr Circles allows you to organize content in personal albums and share them with family circles:

• Personal Albums: You control access to your albums and can share them with specific circles
• Circle Membership: Circle owners can invite members and manage access to shared content
• Privacy Boundaries: Moving photos between albums may affect their visibility in circles based on album sharing settings
• Contributor Rights: Album contributors can add content based on permissions granted by album owners
• Keepr Chain: Cross-circle posts allow sharing content across multiple circles with unified engagement

5. Moments (Ephemeral Stories)

Our Moments feature allows you to share temporary content:

• Duration: Moments are visible for 24 hours after posting, then automatically deleted
• Visibility: Only members of your selected circles can view your Moments
• No Permanent Storage: Moments are not stored beyond their 24-hour lifespan
• View Tracking: Circle members can see who has viewed their Moments
• Content Guidelines: All content policies apply to Moments

6. Storage and Subscription Services

Personal Storage Model: Each user manages their own storage quota:

• Free Vault: 10GB storage included with registration
• Paid plans: Photo Vault (100GB), Pro Vault (250GB), Life Archive (500GB+)
• Storage includes optimized versions; original file storage available on 500GB+ plans
• Subscription charges are processed through Stripe payment processing

6.1 Family Hubs

Family Hubs allow shared storage pools and subscriptions:

• Shared Storage: Hub members share a common storage pool
• Admin Control: Hub administrators manage membership and billing
• Token Invitations: Members join via secure invitation tokens
• Independent Billing: Hub subscriptions are billed separately from personal plans
• Member Limit: Users can join up to 3 Family Hubs

Grace Period: Users experiencing payment issues receive a 14-day grace period to resolve payment problems before service restrictions apply. A 6-month retention period applies before data deletion for lapsed subscriptions.

7. Cloud Storage and Media Processing

We use third-party cloud storage services (Wasabi Cloud Storage) and content delivery networks to store and deliver your content:

• Content may be stored on servers outside your home country
• Photos are processed for thumbnail generation and WebP/AVIF optimization
• Videos are transcoded to H.264 for broad compatibility
• Client-side compression may be applied before upload for efficiency
• Cached versions are distributed via CDN for fast global access
• Original files are backed up securely (on eligible plans)

7.1 Content Delivery Network (CDN)

To provide fast, reliable access to your content:

• Optimized media is cached on edge servers globally
• Shared URLs are used for circle-shared content to improve performance
• Access URLs expire automatically (7 days for regular content, 72 hours for Moments)
• CDN caching does not grant any additional access rights

8. Acceptable Use Policy

You agree not to use the Service to:

• Upload illegal, harmful, or copyrighted content you don't own
• Share content that violates privacy rights of others
• Attempt to access other users' private content without permission
• Use the Service for commercial purposes without authorization
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful software
• Abuse real-time features (chat, notifications) for harassment
• Create false or misleading Moments or timeline posts
• Attempt to circumvent storage limits or billing

9. Real-Time Features and Communication

Our Service includes real-time features such as:

• Live chat and messaging within circles
• Real-time notifications for likes, comments, and activity
• WebSocket connections for instant updates
• Push notifications via PWA (Progressive Web App)
• Activity feeds and timeline updates

You agree to use these features respectfully and in compliance with applicable laws.

10. Data Retention and Deletion

Account Deletion: You may request account deletion at any time through your profile settings. Upon deletion:

• Your personal data will be removed from our systems within 30 days
• Photos you uploaded will be deleted from cloud storage
• CDN cached content will expire automatically
• Shared content in circles may be preserved based on other users' rights
• Some data may be retained for legal or security purposes as required by law

Data Export: Before deletion, you can export your data including:

• All photos and videos with download links
• Album and circle metadata
• Captions, comments, and engagement data
• Interactive HTML or JSON format options

11. Intellectual Property

The Keepr Circles service, including software, design, and trademarks, is our intellectual property. You may not:

• Copy, modify, or distribute our software
• Reverse engineer or attempt to extract source code
• Use our trademarks or branding without permission
• Reproduce our user interface or design elements

12. Service Availability and Modifications

We strive to provide reliable service but cannot guarantee:

• 100% uptime or continuous availability
• That the Service will be free from bugs or errors
• Compatibility with all devices or browsers
• Specific CDN cache hit rates or delivery speeds

We reserve the right to modify, suspend, or discontinue the Service with reasonable notice. We will provide at least 30 days notice for material changes and allow data export before service termination.

13. Payment Terms

For paid subscription services:

• Payments are processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• Family Hub subscriptions are billed to the Hub administrator
• Refunds are provided according to our refund policy
• Price changes will be communicated with 30 days advance notice
• Failed payments trigger a 14-day grace period before service restriction

14. Limitation of Liability

To the maximum extent permitted by law, Keepr Circles shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Service interruptions or technical failures
• Actions of other users or third parties
• CDN or third-party service provider outages
• Content lost due to Moments expiration (by design)

Our total liability shall not exceed the amount you paid for the Service in the preceding 12 months.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Content you upload or share
• Your violation of these Terms
• Your violation of any third-party rights
• Actions of users you invite to your circles or Family Hub

16. Governing Law and Dispute Resolution

These Terms shall be governed by applicable laws. Any disputes shall be resolved through:

• Good faith negotiation as a first step
• Binding arbitration if negotiation fails
• Courts of competent jurisdiction for matters that cannot be arbitrated

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Email notification to your registered address
• Notice within the application
• Posting updated terms with revision date

Continued use of the Service after changes constitutes acceptance of new terms. We will provide at least 30 days notice for material changes.

18. Termination

We may terminate your account if you:

• Violate these Terms or our policies
• Engage in illegal or harmful activities
• Fail to pay subscription fees after grace period
• Abuse other users through real-time features

You may terminate your account at any time through account settings. Upon termination, you may request a data export before your content is deleted.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

By using Keepr Circles, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
